1. Acceptance of Terms

By accessing or using Totem ("the Service"), provided by Tripletype LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Description of Service

Totem is a collaborative knowledge base and document management platform available as a desktop application and via the web. Features include real-time collaboration, role-based access control, offline editing, and team workspace management.

3. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Upload or transmit malicious code, viruses, or harmful data.
Attempt to gain unauthorized access to any part of the Service or its infrastructure.
Interfere with or disrupt the integrity or performance of the Service.
Use the Service to store or distribute content that infringes on the intellectual property rights of others.
Resell, sublicense, or redistribute access to the Service without written permission.

4. Your Content

You retain ownership of all content you create, upload, or store in Totem ("Your Content"). By using the Service, you grant us a limited license to host, store, back up, and transmit Your Content solely for the purpose of operating and providing the Service to you.

We do not claim any intellectual property rights over Your Content. We will not access, use, or share Your Content except as necessary to provide the Service, comply with legal obligations, or enforce these Terms.

You may request an export of Your Content at any time. Upon request, we will provide your data in a standard, portable format within a reasonable timeframe. Your content is yours — we will never hold it hostage.

5. Subscriptions and Payments

Certain features of the Service require a paid subscription.
Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you choose.
All fees are non-refundable except where required by law or as expressly stated in our refund policy.
We reserve the right to change pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.
If payment fails, we may suspend access to paid features until the balance is settled.

6. Free Trial

We may offer a free trial period. At the end of the trial, your account will be downgraded or you will be prompted to subscribe. We reserve the right to modify or discontinue free trials at any time.

7. Cancellation

You may cancel your subscription at any time through your account settings.
Upon cancellation, you retain access to paid features until the end of your current billing period.
After cancellation takes effect, your workspace may be downgraded and some features may become unavailable, but Your Content will remain accessible in a read-only state for a reasonable period.

8. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties. We will make reasonable efforts to notify you before or at the time of termination, except in cases of severe or repeated violations.

9. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by Tripletype LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to our trademarks, logos, or other brand features.

10. Availability and Modifications

We strive to keep the Service available but do not guarantee uninterrupted access. Maintenance, updates, or factors beyond our control may cause temporary downtime.
We may modify, update, or discontinue features of the Service at our discretion. We will provide reasonable notice for material changes that negatively affect your use.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Tripletype LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Washington State.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
